ProcessorWatch is a trade publication about the payment processing industry. We are informed practitioners publishing our own opinions and analysis of publicly available information; we are not neutral outside observers. Nothing on the Site is legal, financial, tax, accounting, or business advice, and nothing on the Site is a recommendation or solicitation to enter into, renew, or exit any merchant services agreement or other commercial arrangement. Except for verbatim quotations from primary sources or Submissions expressly attributed to named contributors, all "concerns," "praises," "hearing," "verdict," and analyst commentary on the Site are our opinions and interpretations of publicly available information, industry patterns, and merchant experiences. We publish them in good faith as commentary on matters of legitimate interest to merchants and other market participants. They are not statements of objective fact about any named company, individual, or product.
Merchant "experiences" shown on processor profiles are illustrative composites drawn from patterns in public reviews and industry forums; attributions are generalized by vertical (e.g., "Auto shop owner, Midwest") and do not identify any specific merchant, transaction, or agreement.
We publish a Corrections & Right of Reply policy. If you are a company, executive, or merchant discussed on the Site and you believe a factual statement is inaccurate, you may request a correction, an accompanying rebuttal, or removal by following that policy.
We respect intellectual property. If you believe content on the Site infringes your copyright, please follow our Copyright / DMCA Policy.
The Site and all content on it are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or completeness. Processor practices, pricing, and contract terms change frequently. You are responsible for verifying any information directly with the relevant processor or advisor before making any commercial decision.
Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site (each, a "Dispute") shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration shall take place in [COUNTY], [STATE], or by video or telephone at the arbitrator's discretion. Judgment on the award may be entered in any court of competent jurisdiction.
You and we agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. Notwithstanding the foregoing, either party may bring an individual action in small-claims court or seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights.
JURY-TRIAL WAIVER. To the extent any Dispute is heard in court, each party waives any right to a jury trial.
To the fullest extent permitted by law, Paynetic Technologies, Nationwide Payments, and their respective affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any lost profits, revenue, business, goodwill, or data, arising out of or relating to the Site or these Terms, even if advised of the possibility of such damages.
Our total aggregate liability for any and all claims arising out of or relating to the Site or these Terms shall not exceed the greater of (a) the amounts, if any, you paid us in the twelve (12) months preceding the event giving rise to the claim, and (b) one hundred U.S. dollars ($100).
You agree to defend, indemnify, and hold harmless Paynetic Technologies,Nationwide Payments, and their affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your Submissions, (b) your use of the Site in violation of these Terms or applicable law, or (c) your violation of any third-party right.
These Terms are governed by the laws of the State of [STATE], without regard to its conflict-of-laws principles. Subject to Section 12, the exclusive venue for any court proceeding shall be the state or federal courts located in [COUNTY], [STATE], and you consent to personal jurisdiction there.
